产品：Starry（星绘）— AI 原生设计工具 许可方：訾亚磊（Aly），个人开发者（下称"许可方"） 版本：v1.0 · 2026-09-16 适用：Starry 桌面客户端、Starry for UGREEN NAS（UGOS Pro）套件、以及 starry.design 提供的在线版本

本协议为中英文双语。如有歧义，以中文版本为准。 This Agreement is provided in Chinese and English. In case of any discrepancy, the Chinese version prevails.

一、许可授予

许可方授予你一项非独占、不可转让、不可再许可、可撤销的有限许可，允许你在自己拥有或合法控制的设备上安装并使用本软件，用于个人或你所在组织内部的设计工作。

本软件以目标代码形式提供，不提供源代码。本软件是专有软件（proprietary software），并非开源软件。

二、限制

除法律明确允许或经许可方书面同意外，你不得：

  1. 复制、发布、出租、出借、出售、转售、分发本软件或其任何部分；
  2. 对本软件进行反向工程、反编译或反汇编（法律法规强制允许的情形除外）；
  3. 移除、遮蔽或修改本软件中的版权声明、商标、许可标识或其他权利声明；
  4. 将本软件用于向第三方提供与本软件实质相同的商业服务；
  5. 绕过或破解本软件的激活、授权或用量限制机制。

三、账号与激活

  1. 部分功能需要激活码或许可凭证，由许可方或其指定的服务（mg.starry.design）签发与校验。
  2. 激活码仅供一名用户使用，不得共享、转售或公开。
  3. 你需自行妥善保管激活凭证；凭证泄露导致的损失由你承担。

四、你的内容

  1. 你在本软件中创建、导入或编辑的设计文件、图片、字体等内容归你所有。
  2. 使用云端 AI 功能时，为完成生成任务，你输入的提示词与必要的画布上下文会被发送至第三方模型服务商处理。请勿输入你不希望离开本机的敏感内容。
  3. 除完成上述处理所必需外，许可方不主张对你内容的所有权，也不会将其用于训练模型。

五、第三方组件

本软件包含多个第三方开放源码组件（例如 Skia/CanvasKit、Vue、fflate、Inter 字体等），它们按各自的许可证授权，而非按本协议授权。完整清单与许可证文本见：

本软件的部分代码源自 MIT 许可的开源项目 OpenPencil（Copyright © 2026 Danila Poyarkov）。依 MIT 许可证要求，其版权声明与许可证全文已保留在上述清单中。该事实不影响本软件整体为专有软件的性质，也不授予你对本软件其他部分的开源权利。

六、隐私

本软件的数据处理方式见《隐私政策》：https://starry.design/privacy.html。该政策构成本协议的一部分。

七、更新与变更

  1. 本软件可能自动或提示你更新；更新后继续使用即视为接受更新后的条款。
  2. 许可方可在后续版本中调整功能，包括新增、修改或移除某些能力。

八、免责声明

本软件按"现状"（AS IS）提供，不附带任何形式的明示或默示担保，包括但不限于对适销性、特定用途适用性及不侵权的担保。你使用本软件所产生的风险由你自行承担。

尤其是：AI 生成结果具有不确定性，你应在使用前自行核对内容的准确性与合规性；请务必自行保留设计文件备份。

九、责任限制

在适用法律允许的最大范围内，许可方对因本软件引起的任何间接、附带、特殊、惩罚性或后果性损害（包括数据丢失、业务中断、利润损失）不承担责任。许可方的累计赔偿责任以你在提出索赔前 12 个月内为本软件实际支付的费用为上限。

十、终止

  1. 你违反本协议任一条款时，许可自动终止。
  2. 终止后，你应停止使用并删除本软件的全部副本。
  3. 本协议第一条（许可授予）以外的条款在终止后继续有效。

十一、适用法律

本协议适用中华人民共和国大陆地区法律（不含冲突法规则）。因本协议产生的争议，双方应友好协商解决；协商不成的，提交许可方住所地有管辖权的人民法院裁决。

1. Grant of License

The Licensor grants you a non-exclusive, non-transferable, non-sublicensable, revocable limited license to install and use this software on devices you own or lawfully control, for personal design work or internal use within your organisation.

This software is provided in object-code form only and does not include source code. It is proprietary software, not open-source software.

2. Restrictions

Except as expressly permitted by law or agreed in writing by the Licensor, you may not:

  1. copy, publish, rent, lend, sell, resell or distribute this software or any part of it;
  2. reverse engineer, decompile or disassemble this software (except where mandatory law permits);
  3. remove, obscure or alter any copyright, trademark or licence notice in this software;
  4. use this software to provide a commercial service substantially identical to it to third parties;
  5. circumvent or crack any activation, licensing or usage-limit mechanism.

3. Accounts and Activation

  1. Certain features require an activation code or licence credential issued and validated by the Licensor or its designated service (mg.starry.design).
  2. An activation code is for a single user only and may not be shared, resold or published.
  3. You are responsible for safeguarding your credentials.

4. Your Content

  1. Documents, images and fonts you create, import or edit in this software remain yours.
  2. When you use cloud AI features, your prompts and the necessary canvas context are sent to third-party model providers to fulfil the request. Do not input content you do not wish to leave your device.
  3. Other than as necessary to perform that processing, the Licensor claims no ownership over your content and does not use it to train models.

5. Third-Party Components

This software includes third-party open-source components (for example Skia/CanvasKit, Vue, fflate, the Inter font). Those components are licensed under their own licences, not under this Agreement. The complete list and licence texts are provided in:

Portions of this software are derived from the MIT-licensed project OpenPencil (Copyright © 2026 Danila Poyarkov). The copyright notice and licence text of that project are retained in the notice file above. This does not change the proprietary nature of this software as a whole, nor does it grant you open-source rights over the rest of it.

6. Privacy

Data handling is described in the Privacy Policy at https://starry.design/privacy.html, which forms part of this Agreement.

7. Updates and Changes

  1. The software may update automatically or upon your confirmation; continued use after an update constitutes acceptance of the updated terms.
  2. The Licensor may add, modify or remove features in later versions.

8. Disclaimer of Warranty

The software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. You use the software at your own risk.

In particular: AI-generated output is inherently nondeterministic; verify accuracy and compliance before use, and always keep your own backups of design files.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, special, punitive or consequential damages (including lost data, business interruption or lost profits). The Licensor's aggregate liability shall not exceed the amount you actually paid for this software in the 12 months preceding the claim.

10. Termination

  1. This licence terminates automatically if you breach any term.
  2. Upon termination you must stop using and delete all copies of the software.
  3. Sections other than Section 1 survive termination.

11. Governing Law

This Agreement is governed by the laws of the mainland of the People's Republic of China (excluding conflict-of-law rules). Disputes shall first be resolved through friendly negotiation; failing that, they shall be submitted to the competent people's court at the Licensor's domicile.
